LEGAL TERMS AND CONDITIONS OF THE GUT FEELING SPAIN GIVEAWAY

1. ORGANIZING ENTITY

The giveaway “[GUT FEELING SPAIN]” (hereinafter, the “Giveaway”) is organized by Medicinal Gardens, S.L., with Tax ID No. B86745940 and registered office at Calle Almirante 5, 1º izquierda (28004, Madrid) (hereinafter, “Baïa”). 

2. PURPOSE OF THE GIVEAWAY

The purpose of the Giveaway is to promote well-being and encourage active participation in our community.

3. TERRITORIAL AND TIME SCOPE 

The Giveaway will begin on 19/07/2026 at 00:00 in July 2026 and will end at 23:59 on 19 July 2026 (the "Duration Period"). 

Users residing in Spain who meet the requirements set out in these terms and conditions may participate in the Giveaway (the “Territorial Scope”).

Without prejudice to the Duration Period, Baïa reserves the right to temporarily extend the Giveaway beyond the Duration Period and/or to expand and/or reduce the Territorial Scope, which would be duly communicated on the website www.baiafood.com and on social media and in the newsletter.

Once the Duration Period has ended, it will no longer be possible to participate in this Giveaway.

1. PARTICIPANT REQUIREMENTS 

Any natural person who meets the following requirements may participate in the Giveaway free of charge:

1. Natural persons over eighteen (18) years of age. Without prejudice to any verification measures it may establish to confirm legal age, Baïa shall not be liable for access or improper use by minors. 

2. Have a delivery address located within Spanish territory in the event of being selected as a winner. Under no circumstances will prizes be shipped abroad. 

3. All natural persons of legal age who place and complete payment for at least one order on the official Baía Food website (https://www.baiafood.es/) between 00:00 and 23:59 hours (CEST) on July 19, 2026, regardless of the order amount, will be automatically entered into the promotion. Each order will entitle the participant to one (1) entry. Cancelled, returned, or unpaid orders prior to the time of the draw are excluded

Participation in the Sweepstakes is free of charge, except for the Internet connection cost of the mobile devices or similar devices used to participate and/or register for it.

The following may not participate in the Sweepstakes: persons who have been involved in its organization (including, by way of example but not limitation, Baía employees, agencies involved in the Sweepstakes, and/or suppliers).

Likewise, persons who expressly and proactively object, at any time during the Term, to the processing of their respective personal data may not participate in the Sweepstakes.

Baía reserves the right to prevent any person from participating in the Sweepstakes if they do not meet the participation requirements mentioned above, or if they do not comply with the provisions set out in the texts they were required to read and accept during the registration process, all without any liability on its part.

It also reserves the right to remove any participant from the Sweepstakes, or to prevent delivery of the prize if selected, should it be detected that the participation was carried out fraudulently. The determination of fraud shall be at Baía's sole discretion.  

The removal of any participant as a result of a determination of fraud shall not give rise to any liability for Baía

The omission, inaccuracy, error, or falsity of any of the data requested for any form of participation will result in the automatic exclusion of the participation in the Sweepstakes, without any liability whatsoever for Baía.

6. VALUE AND NATURE OF THE PRIZE 

The prize subject to the Sweepstakes consists of the award of:
If the Spanish National Football Team wins the match played on July 19, 2026: reimbursement of the full amount of five (5) orders placed on that same day, selected at random from among the participants, with a maximum limit of two hundred and fifty (250) euros per reimbursed order. If the Spanish National Football Team does not win that match: reimbursement of the full amount of two (2) orders placed on that same day, selected at random from among the participants, with the same maximum limit of two hundred and fifty (250) euros per reimbursed order. In both cases, additionally, one (1) "Gut Feeling" Basket containing a selection of Baía products (the "Pack") will be raffled among all participants on July 19, 2026 (the "Prize").

Each winner will receive a single prize. In the case of refunds, the value of the Prize will match the amount of the order placed by the winner, up to the maximum limit of 250 euros indicated above. In the case of the "Gut Feeling" Bundle, the Prize will consist of the product pack predetermined by Baïa, with no possibility of substitution, change of references, or selection of alternative products by the winner.
The Prize will be supplied and delivered by Baïa.
Substitution or transfer of this Prize, or redemption for cash value, will not be permitted.
Likewise, Baïa reserves the right to substitute the Prize with one of equal or greater value.

7. WINNER SELECTION

Once the Duration Period has ended, the Prize winners will be selected by means of a random draw through the platform app-sorteos.com, which allows the instant random selection of winners in contests and sweepstakes based on the first and last names of participants corresponding to valid orders placed on July 19, 2026, without communicating to said platform any other additional personal data (email, telephone number, address, or others). After the draw has been carried out, the platform itself issues a certificate to verify its authenticity.

Additionally, in this same draw, two (2) alternate winners will be selected in the event that the winner cannot be contacted, does not come forward, does not meet the requirements, and/or is disqualified. 

8. WINNER NOTIFICATION 

Participants agree that, if they are winners, their first and last names may be published in the draw certificate and/or on Baïa's communication channels (social media, website) for the purpose of publicizing the result of the Sweepstakes.
Baïa will notify the winners of the result of the Sweepstakes via the email address designated for this purpose in the order placed on the official Baïa Food website. It will also be announced on the social media channels of @baiafoodco.
The winners must, following the instructions and within a maximum period of five (5) days from the time they are contacted, claim the Prize by providing the information necessary for this purpose.
Once it receives the information, Baïa will proceed to verify compliance with the requirements set out in these terms and conditions.
If the winning person does not respond or does not send the requested information within the deadline, or cannot be reached using the details provided to claim the Prize, or if the Prize cannot be delivered after one delivery attempt, at the agreed delivery point and on the agreed dates, they will lose the right to receive the Prize.
In the event that the winner loses the right to receive the Prize as indicated above, Baïa will contact the alternate winners.

The entity responsible for delivering the prize/Baïa will be the one that, once it has been claimed following the instructions and after verification of the data and compliance with the requirements of the Official Rules, sends the Prize to the winners.
Baïa shall not be responsible for the proper delivery of the Prize if the personal data provided by the winners is incorrect or incomplete.

9. PERSONAL DATA PROTECTION

The personal data provided will be processed in accordance with the General Data Protection Regulation (GDPR) (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016, on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and will be used to manage this giveaway, as well as to publish and publicize its results, and to arrange delivery of the giveaway prize.

In addition, with the participant's explicit consent, the data may be included and retained in a file owned by Baïa in order to send commercial communications related to Baïa and its products or services.

Participants guarantee that the personal data provided is truthful and are responsible for informing Baïa of any changes to such data. Baïa reserves the right to exclude from this Giveaway any participant who has provided false data.

• Data controller: Medicinal Gardens, S.L., with Tax ID No. B86745940 and registered office at Calle Almirante 5, 1º izquierda (28004, Madrid).

• Main purpose: Giveaway management and contact with the winners.

• Additional purpose: Sending commercial communications if the participant's consent has been obtained.

• Data category: first name, last name, email address, and username on social media. This procedure is based on the free consent of the participants in the Giveaway.

• Legal basis: Performance of a contract (these official giveaway rules), which is the main purpose, and consent, as an additional purpose.

• In the event that Baïa engages a third party to provide services in relation to the giveaway, including the app-sorteos.com platform for the random selection of winners, the relevant participant's personal data will be disclosed to such third party, but only when strictly necessary to carry out the tasks entrusted to it by Baïa (for example, data collection, preparation of the giveaway list, contact with the winner, and prize delivery), and never for purposes other than those mentioned in these official rules.

• Retention:

When the legal basis is performance of a contract (these legal bases): The personal data provided will be retained for the time necessary to comply with the contractual and legal obligations arising from the contract or agreement. After the end of the contractual relationship/end of the giveaway and delivery of prizes, the data will be duly blocked for the period necessary to comply with the applicable legal obligations or until any potential liabilities arising from the contractual relationship become time-barred.

When the legal basis is consent: the data will be processed as long as consent has not been withdrawn.

Notwithstanding the above periods, even after the aforementioned time has elapsed or an objection has been made or consent has been withdrawn, Baïa may retain the personal data that is strictly necessary to address any liabilities that may arise from the relationship with the participants and any other legal requirement. 

For clarification purposes, the withdrawal of consent will not affect the lawfulness of processing based on consent prior to its withdrawal.

• Rights: Participants, in accordance with the rights granted to them by the current data protection regulations, may exercise their rights of access, rectification, restriction of processing, erasure, portability, and objection to the processing of their personal data, as well as withdrawal of the consent given for such processing, by sending their request to the following postal address: aloha@baïafood.com. 

Without prejudice to any other administrative remedy or legal action, the participant shall have the right to lodge a complaint with a Supervisory Authority, in particular in the Member State of their habitual residence, place of work, or place of the alleged infringement, if they consider that the processing of their personal data does not comply with the regulations, as well as in the event that the exercise of their rights is not satisfactorily addressed. Therefore, the participant declares that they have been informed of the conditions regarding personal data protection, accepting and consenting to the processing.

• Consent: 

• The participant declares that they have been informed of the conditions regarding personal data protection, accepting and consenting to the processing set out in this clause.

• The participant may authorize the sending of commercial communications by checking the corresponding box on the registration form. Upon registering, the participant may agree to receive communications from Baïa by checking the corresponding box.

• Security Measures: In accordance with the provisions of the regulations in force on personal data protection, Baïa is complying with all GDPR provisions for the processing of the personal data under its responsibility, and with the principles described in Article 5 of the GDPR, under which such data are processed lawfully, fairly, and transparently in relation to the participant, and are adequate, relevant, and limited in relation to the purposes for which they are processed. Baïa guarantees that it has implemented appropriate technical and organizational policies to apply the security measures established by the GDPR in order to protect the rights and freedoms of participants, and has provided them with the appropriate information so that they may exercise those rights.

10. DEPOSIT OF THE OFFICIAL RULES AND ACCESSIBILITY THERETO 

These Official Rules will be available during the Term on the website www.baiafood.com, or at Baïa’s offices at the address indicated at the beginning of these Official Rules.

11. TAXATION

• In accordance with Personal Income Tax regulations (“IRPF”), each Prize awarded, as its value is less than three hundred (300) euros, is not subject to withholding or payment on account. 

In any event, the winner shall be responsible for the corresponding declaration in their Personal Income Tax return, if applicable. 

12. LIABILITY REGIME

Baïa disclaims any type of liability for damages or claims that may arise from participation in the Sweepstakes, as well as any liability for damages arising from the use and enjoyment of the prizes that may be suffered by the prize winner or third parties.

Specifically, the winner shall be solely responsible for verifying whether they meet the legal age requirement and the physical/health conditions necessary for the use of the Prize.

Acceptance of the prizes does not condition or impose the purchase of any kind of products or services.

Baïa shall be released from any obligation or compensation to participants if the Sweepstakes must be cancelled or suspended, and such situation shall be duly communicated to participants.

Baïa shall not be liable for the malfunctioning of electronic communications networks that prevent the normal conduct of the Sweepstakes and, in particular, for external bad-faith acts. Baïa shall also not be liable for transmission problems or data loss not attributable to its conduct.

Baïa is released from any type of liability with respect to the operating condition or other incidents that may arise in connection with the enjoyment of the Prize. Such liability shall be assumed by the entity in charge of the Prize and/or its manufacturer, as applicable. 

13. ADDITIONAL PROVISIONS

Baïa reserves the right to disqualify and/or remove from the Sweepstakes any persons who fail to comply with any participation condition set forth herein.

Baïa reserves the right to extend, modify, shorten, void, or cancel the Sweepstakes if circumstances so advise in its judgment, and under no circumstances may it be held liable to participants for such modifications. 

14. APPLICABLE LAW AND JURISDICTION

These legal terms and conditions shall be governed by and construed in accordance with Spanish law (excluding regional civil law). Any dispute that may arise in connection therewith shall be submitted to the Courts and Tribunals of the city of Madrid.

In the event of discrepancies or contradictions between these Legal Terms and the Terms and Policies included on the website www.baiafood.com, these Legal Terms shall prevail in relation to the Sweepstakes.

2. PURPOSE OF THE CAMPAIGN

The purpose of the Campaign is to promote well-being and encourage active participation in our community.

The Campaign will begin on September 1, 2025 at 8:00 a.m. and will end at 11:59 a.m. on September 30, 2025 (the “Term”).

Users residing in Spain who meet the requirements set out in these terms and conditions may participate in the Campaign (the “Territorial Scope”).

Once the Term has ended, it will no longer be possible to participate in this Campaign.

4. PARTICIPANT REQUIREMENTS 

Any natural person who meets the following requirements may participate in the Campaign:

3. Place your order on the website baiafood.com during the “Promotional Period”.

Persons who have been involved in the organization of the Promotion may not participate in the Promotion (including, by way of example but not limitation, Baïa employees, agencies involved in the Promotion, and/or suppliers).

Likewise, persons who expressly and proactively state, at any time during the Promotional Period, their objection to the processing of their respective personal data may not participate in the Promotion.

Baïa also reserves the right to remove any participant from the Promotion, or to prevent delivery of the prize if selected, in the event that participation is found to have been carried out fraudulently. The determination of fraud shall be at Baïa’s sole discretion.

During the “Promotional Period”, the following will be given away each week:

• 1 Golden Ticket valued at €1,000 in Baia products
  
  

• 4 Silver Tickets each valued at €250 in Baia products

Each winner will receive a single prize with a value of €1,000 in the case of the Golden Ticket or €250 in the case of the Silver Ticket.

The Prize will be supplied and delivered by Baïa.

Substitution or transfer of this Prize, or redemption for its cash value, will not be permitted.

6. WINNER SELECTION

Each week, the 5 winners will be selected, that is, a total of 20 winners over the full month, once the Promotional Period has ended

7. WINNER NOTIFICATION 

Baïa will notify the winners of the Campaign through their own order, by including the Golden or Silver Ticket in their order.

Following the instructions on that ticket, and within a maximum period of seven (7) days from the time it is delivered to them, winners must claim the Prize by sending a photo to aloha@baiafood.com of their order with the Ticket inside, valued at €1,000 or €250.

Once the information is received, Baía will proceed to verify compliance with the requirements set out in these terms and conditions.

If the winning person does not reply or does not send the requested information within the deadline, or cannot be reached using the details provided in the form to claim the Prize, or if the Prize cannot be delivered after one delivery attempt at the agreed delivery point and dates, they will lose the right to receive the Prize. 

Once it has been claimed in accordance with the instructions and after verification of the data and compliance with the requirements of the Legal Terms, Baía will send the Prize to the winners. A gift card for the amount of €1,000 or €250 (depending on whether it is a golden or silver ticket) will be provided, which may be spent in the store baiafood.com provided that it is not used during the brand's promotional periods.

Baía will not be responsible for the proper delivery of the Prize if the personal data provided by the winners is incorrect or incomplete.

If Baïa engages a third party for the provision of services in relation to the Action, the relevant participant's personal data will be disclosed to that third party, but only when strictly necessary to carry out the tasks entrusted by Baïa (for example, data collection, preparation of the list for the Action, contacting the winner, and delivery of the prize), but never for purposes other than those mentioned in these terms.

• Retention:
